1. Acceptance of Terms

By subscribing to or using the Sophy AI Voice Agent service (“Service”), you agree to be bound by these Terms & Conditions. If you are entering into this agreement on behalf of a business, you represent that you have the authority to bind that business.


2. Service Overview

Sophy is a virtual AI voice assistant that answers phone calls, books/reschedules appointments, responds to common service-related inquiries, and routes calls for medspas and wellness clinics. It is available 24/7 and supports English and Spanish languages.


3. Client Responsibilities

Clients agree to:

  • Provide accurate business information, booking protocols, and preferred communication flows

  • Notify BNC of any changes in hours, services, or policies

  • Maintain HIPAA-compliant integrations (if handling PHI)

  • Use the Service solely for lawful purposes


4. Fees & Billing

Subscription fees are billed monthly or annually, as selected during signup. All payments are due in advance of the subscription term and are non-refundable, unless otherwise agreed in writing.

Late payments may result in temporary suspension of service.


5. Call Recording & Data Usage

By using the Service, you authorize BNC to process and store caller data, including appointment details, call transcripts, and metadata. Call recordings (if enabled) are stored securely and are accessible only to authorized users.

Clients are responsible for informing their callers if call recording is active.


6. HIPAA & Data Compliance

If you handle Protected Health Information (PHI), you must execute a Business Associate Agreement (BAA) with BNC. BNC implements reasonable safeguards to comply with HIPAA but is not liable for client-side misuse of PHI.


7. Intellectual Property

BNC retains all rights to the Sophy AI technology, voice models, software, and branding. You may not copy, reverse-engineer, or redistribute the Service without written consent.


8. Service Availability

We strive for 99.9% uptime. However, we do not guarantee uninterrupted service and are not liable for delays or failures caused by technical issues, third-party tools, or force majeure events.


9. Termination

Either party may terminate the agreement with 30 days’ written notice. BNC may terminate immediately in cases of non-payment, abuse of service, or illegal use.

Upon termination, access to the Service and stored data will be discontinued unless otherwise specified in writing.


10. Limitation of Liability

BNC is not liable for indirect, incidental, or consequential damages arising from the use or inability to use the Service. In no event shall BNC’s total liability exceed the amount paid by the client in the last 3 months.


11. Indemnification

You agree to indemnify and hold harmless BNC, its officers, and employees against any claims, damages, or legal fees arising from your use of the Service or violation of these terms.


12. Governing Law

These Terms are governed by the laws of the State of [Insert State], without regard to conflict of law provisions. Any disputes shall be resolved in the courts located in [Insert County/State].


13. Amendments

BNC may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new terms.


14. Refund & Chargeback Policy

All sales are final. Once payment is made and the Sophy AI Voice Agent service is activated or delivered, no refunds will be issued under any circumstance.

By purchasing our service, you agree that:

  • You have reviewed and accepted the features, scope, and limitations of the service.

  • You will not initiate a chargeback or payment dispute for any processed payment.

  • Attempting to reverse a valid charge constitutes a breach of this agreement and may result in suspension or termination of your access to the Service.
